Clay Graph End User License Agreement Draft revision: September 5, 2026 - pending legal approval before public release This End User License Agreement ("Agreement") is a legal agreement between you and Iron Spline Technologies Inc., British Columbia, Canada ("Clay Graph", "we", "us", or "our") for Clay Graph, including the Clay Graph desktop application, first-party plugins, documentation, user interface, assets, updates, and related materials provided by Clay Graph (collectively, "Clay Graph" or the "Software"). Business address: 3616 Silver Way, West Kelowna, BC V4T 1A3, Canada. Users must be at least 13. Minors need parent or legal guardian permission. Purchases must be authorized by an adult with capacity to contract. Applicable local consent and consumer-protection requirements remain in effect. By installing, copying, launching, accessing, or using Clay Graph, you agree to this Agreement. If you do not agree, do not install or use Clay Graph. 1. License Grant Subject to this Agreement, Clay Graph grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use Clay Graph for your own creative, commercial, educational, evaluation, or internal business work. This Agreement does not sell Clay Graph to you. Clay Graph and its licensors retain all rights not expressly granted in this Agreement. An account is required for Free and paid tiers, subject to the supported offline authentication grace period. Subscription or Plus-trial expiry removes paid authoring capabilities, not the Free workspace or your rights in Your Content. Free output has no watermark or commercial-use restriction. The seven-day Plus trial does not itself authorize recurring payment. Billing terms and mandatory consumer remedies are described at https://claygraph.com/legal/billing. 2. Ownership Clay Graph is owned by Clay Graph and is protected by copyright, trademark, trade secret, and other intellectual property laws. Clay Graph retains all rights in Clay Graph, including its source code, object code, user interface, product design, first-party assets, documentation, names, logos, and branding. You may not remove, alter, or obscure copyright, trademark, license, or other proprietary notices included with Clay Graph. 3. Your Content and Output As between you and Clay Graph, you retain ownership of the scenes, USD files, models, materials, rigs, animations, images, scripts, plugins, and other content that you create, import, edit, or export using Clay Graph ("Your Content"). Clay Graph does not claim ownership of Your Content or of creative output created with Clay Graph. You are responsible for ensuring that you have the rights needed for any content, assets, fonts, plugins, scripts, or data you use with Clay Graph. 4. Third-Party Software Clay Graph includes third-party software components. Those components are licensed under their own license terms, which are provided in THIRD_PARTY_NOTICES.txt or other notice files distributed with Clay Graph. Nothing in this Agreement limits rights that you may have under applicable open-source or third-party licenses. If this Agreement conflicts with the license terms for a third-party component, the third-party license controls for that component. 5. Plugins, Scripts, and External Tools Clay Graph may support plugins, scripts, automation tools, remote procedure calls, agent workflows, or other extensions. You are responsible for the plugins, scripts, tools, commands, and services you install, enable, run, or connect to Clay Graph. Third-party plugins and tools are not provided by Clay Graph unless Clay Graph expressly identifies them as first-party Clay Graph components. Clay Graph is not responsible for third-party plugins, scripts, tools, services, or their effects on your files, systems, or data. 6. Restrictions Except to the extent expressly allowed by this Agreement or applicable law, you may not: a. copy, distribute, rent, lease, lend, sell, sublicense, host, or make Clay Graph available to any third party; b. modify, adapt, translate, or create derivative works of Clay Graph; c. reverse engineer, decompile, disassemble, or attempt to derive the source code, structure, or internal algorithms of Clay Graph; d. bypass, disable, or interfere with license checks, security features, update mechanisms, or technical protection measures; e. use Clay Graph to develop or distribute malware, spyware, unlawful surveillance, or other harmful code; f. use Clay Graph in violation of applicable law or third-party rights; g. misrepresent the origin of Clay Graph or imply that Clay Graph endorses your products, services, plugins, or content without written permission; or h. remove or alter legal notices included with Clay Graph. These restrictions do not prevent you from exercising rights that cannot be waived under applicable law, such as legally protected interoperability rights. They do not prohibit authoring your own scripts, rig modules, plugins or other extensions using Clay Graph's supported extension interfaces. 7. Updates and Changes Clay Graph may provide updates, patches, previews, or new versions of Clay Graph. Updates may add, modify, or remove features. Unless Clay Graph provides separate terms with an update, this Agreement applies to that update. Clay Graph is not required to provide any particular update, feature, compatibility guarantee, support service, or continued availability of Clay Graph. 8. Backup and Production Use Clay Graph is a digital content creation tool and may modify complex project files. You are responsible for maintaining backups of Your Content and for validating Clay Graph, plugins, scripts, importers, exporters, and automated workflows before using them in production. Clay Graph is not designed for use in safety-critical systems, life-support systems, weapons systems, emergency services, or environments where failure could cause death, personal injury, or severe physical, environmental, or property damage. 9. Privacy Clay Graph may include local features, network features, remote APIs, update checks, crash reporting, telemetry, account features, or agent integrations depending on the version and configuration you use. Any collection or processing of personal information by Clay Graph is governed by the applicable Clay Graph privacy policy at https://claygraph.com/legal/privacy. You are responsible for the data you send to third-party services, agents, plugins, scripts, or tools used with Clay Graph. 10. Export Compliance You must comply with all applicable export control, sanctions, and trade laws, including the U.S. Export Administration Regulations and any other laws that apply to your location or use of Clay Graph. You may not export, re-export, transfer, download, or use Clay Graph in violation of those laws or in any embargoed or restricted destination, for any prohibited end use, or by any prohibited end user. 11. No Warranty TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAY IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. CLAY GRAPH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, RELIABILITY, SECURITY, COMPATIBILITY, AND ERROR-FREE OR UNINTERRUPTED OPERATION. Some jurisdictions do not allow certain warranty exclusions, so some of the above exclusions may not apply to you. In that case, the exclusions apply to the maximum extent permitted by law. 12. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAY GRAPH AND ITS LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, CONTENT, FILES, OR PRODUCTION TIME; BUSINESS INTERRUPTION; OR COSTS OF SUBSTITUTE GOODS OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAY GRAPH'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR CLAY WILL NOT EXCEED THE AMOUNT YOU PAID TO CLAY GRAPH FOR THE COPY OF CLAY GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR USD $100 IF YOU PAID NOTHING FOR THAT COPY. Some jurisdictions do not allow certain liability limitations, so some of the above limitations may not apply to you. In that case, the limitations apply to the maximum extent permitted by law. 13. Termination This Agreement remains in effect until terminated. Your license terminates automatically if you violate this Agreement. Upon termination, you must stop using Clay Graph and delete or uninstall all copies in your possession or control. Sections that by their nature should survive termination will survive, including Ownership, Your Content and Output, Third-Party Software, Restrictions, No Warranty, Limitation of Liability, Export Compliance, and General Terms. 14. U.S. Government Users Clay Graph is commercial computer software and commercial computer software documentation. If Clay Graph is acquired by or on behalf of the U.S. Government, it is provided only with the rights customarily granted to the public under this Agreement, consistent with applicable federal acquisition regulations. 15. General Terms This Agreement is the entire agreement between you and Clay Graph for Clay Graph and supersedes prior or contemporaneous agreements about Clay Graph, unless Clay Graph provides separate written terms that expressly replace or supplement this Agreement. If any part of this Agreement is held unenforceable, the remaining parts will remain in effect. Clay Graph's failure to enforce a provision is not a waiver of its right to do so later. You may not assign or transfer this Agreement or your rights under it without Clay Graph's written consent. Clay Graph may assign this Agreement as part of a merger, acquisition, reorganization, sale of assets, or by operation of law. This Agreement is governed by British Columbia law and applicable Canadian federal law to the extent permitted. Consumers retain mandatory protections and access to courts available under applicable local law. No provision waives non-waivable consumer rights.
